Terms of Service for VendraOS

Welcome to VendraOS. These Terms of Service govern your access to and use of VendraOS, a business management dashboard available at vendraos.trendva.in VendraOS is a business , operated by vendraos .

By creating an account or using VendraOS, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who Can Use VendraOS

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
You must provide accurate and complete information when signing up.
You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account.
One account is intended for use by one business/individual. Sharing login credentials across multiple businesses is not permitted.

2. Description of Service

VendraOS provides tools to help sellers manage:

Customer records
Product catalogs
Orders and order tracking
Invoices (including PDF generation and WhatsApp/email sharing)
Payments and payment status tracking
Expenses
WhatsApp message templates and sharing
Business reports and analytics

We may add, modify, or remove features at our discretion, with or without notice, to improve the Service.

3. Free Trial

New accounts receive a free trial period of [30] days, with no credit card required to start.
At the end of the trial, continued access requires an active paid subscription (Monthly or Yearly).
We reserve the right to modify the length or availability of the free trial at any time, including for new sign-ups.

4. Subscription Plans and Billing

4.1 Plans

VendraOS offers the following paid plans (prices subject to change with notice):

4.2 Payment Processing

All payments are processed securely through Razorpay. We do not store your card, UPI, or bank account details.
Subscriptions are billed automatically on a recurring basis (monthly or yearly, depending on your chosen plan) until cancelled.

4.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
You will continue to have access to the Service until the end of your current paid billing period, even after cancellation.

4.4 Price Changes

We may change subscription pricing from time to time. Existing subscribers will be notified in advance of any price change taking effect on their next billing cycle.

4.5 Failed Payments

If a payment fails, we may retry the charge. If payment continues to fail, your account may be downgraded or suspended until payment is successfully processed.

5. Cancellations and Refunds

You may cancel your subscription at any time from your account settings. Cancellation will stop future billing, but you will retain access until the end of the period you’ve already paid for.
Refund Policy: Payments already made are non-refundable, except where required by applicable law.
No refunds are provided for partial billing periods, unused features, or downgrades made mid-cycle.

6. Your Data and Content

6.1 Ownership

You retain full ownership of all business data you enter into VendraOS, including your customer records, orders, invoices, and other content (“Your Data”).

6.2 License to Us

You grant us a limited license to store, process, and display Your Data solely for the purpose of providing and improving the Service to you.

6.3 Your Responsibilities

You are solely responsible for:

The accuracy of the data you enter
Having a lawful basis to collect and store your customers’ personal information (name, phone, WhatsApp number, email, address, etc.)
Complying with applicable data protection and consumer protection laws in your jurisdiction
Any communications you send to your customers via WhatsApp, email, or other channels through the Service

6.4 Data Backup

While we take reasonable measures to protect and back up data, you are encouraged to independently export or back up important business records periodically. We are not liable for data loss due to circumstances outside our reasonable control.

7. Acceptable Use

You agree not to use VendraOS to:

Violate any applicable law or regulation
Send spam, unsolicited, or misleading messages to customers via WhatsApp or email
Upload malicious code, attempt to breach security, or disrupt the Service
Reverse-engineer, copy, resell, or white-label the Service without our written permission
Impersonate another person or business
Store or process data you do not have the legal right to hold (e.g., data collected without customer consent)

We reserve the right to suspend or terminate accounts that violate these terms.

8. Third-Party Services

VendraOS integrates with third-party services, including:

Razorpay (payments)
Google (sign-in)
WhatsApp (message sharing)

Your use of these integrations is also subject to the respective third party’s own terms and privacy policies. We are not responsible for the availability, performance, or practices of these third-party services.

9. Service Availability

We aim to keep VendraOS available and reliable, but we do not guarantee uninterrupted or error-free service.
We may perform scheduled or emergency maintenance that temporarily affects availability.
We are not liable for any loss resulting from downtime, bugs, or service interruptions, except where required by law.

10. Intellectual Property

VendraOS, including its design, logo, code, and branding, is our property (or licensed to us) and is protected by intellectual property laws.
These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended.

11. Termination

By you: You may stop using the Service and cancel your subscription at any time.
By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay applicable fees, or for any other reason with reasonable notice, except in cases of serious violations where immediate termination may occur.
Upon termination, your right to access the Service ends. We may retain your data for a limited period as described in our Privacy Policy before deletion.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

13. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of (or inability to use) the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the [3] months preceding the claim.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party’s rights (including your customers’ data protection rights).

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the dashboard. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
